Since last summer’s decline in the subprime mortgage and other structured finance markets, there’s been a lot of talk about structured investments, which typically involve the formation and use of a special purpose entity. In an altogether different market segment, real estate lenders increasingly require that borrowers under certain financings organize themselves as bankruptcy-remote special purposes entities.


This webinar will address essential terms and concepts needed by attorneys in order to understand and discuss the use of Special Purpose Entities (SPEs) with their clients.   


After a brief overview, the presentation will cover the many components of an SPE with special attention being paid to the Delaware Statutory Trust and the Delaware Limited Liability Company, TWO ENTITIES GENERALLY FAVORED BY RATING AGENCIES.  


The program includes discussions on bankruptcy issues, limitations, exceptions, perfection, filing, and a look at Delaware law in regard to the subject.  


Presenter Norman Powell is a respected authority on this topic and has been published HERE in the Metropolitan Corporate Counsel. Reading this article would provide a good primer for the course.
